1. Definitions
In these terms of service, the following terms have the meanings indicated below:
- "Service" means the ChatDirect.ca platform, including the AI chatbot, mini-CRM, client portal, administration panel, embeddable widget and all associated features.
- "Client" means any natural or legal person who subscribes to a pricing plan and uses the Service for their business.
- "User" means any person having access to the client portal or administration panel, including users invited by the Client.
- "Visitor" means any person who interacts with a ChatDirect chatbot embedded on a Client's website.
- "BYOK" (Bring Your Own Key) means the mode in which the Client uses their own API key from an AI provider to power their chatbot.
2. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these terms of service as well as our privacy policy. If you do not accept these terms, you must not use the Service.
ChatDirect reserves the right to modify these terms at any time. Modifications take effect upon publication on this page. Continued use of the Service after publication of modifications constitutes your acceptance of the modified terms.
3. Service Description
ChatDirect.ca is a SaaS (Software as a Service) platform that provides:
- A customizable AI chatbot embeddable on any website via a JavaScript widget
- A built-in mini-CRM with kanban pipeline, lead scoring, automatic follow-ups, reminders and activity log
- A client portal for autonomous chatbot configuration, lead management and performance tracking
- An administration panel for multi-client management
- A live chat enabling human agent takeover
- Integrations with third-party services (HubSpot, Pipedrive, Monday.com, Twilio, Slack)
- Support for 4 AI providers: Anthropic, OpenAI, Google and Mistral
4. Plans and Pricing
4.1 Available Plans
The Service is offered under 5 pricing plans:
- Discovery (free, 14 days): 250 AI messages, basic features
- Starter ($39/month CAD): 1,000 conversations/month, GPT-4o Mini
- Pro ($69/month CAD): 1,000 conversations/month, Claude Haiku 4.5, full CRM
- Business ($149/month CAD): 2,500 conversations/month, public API, full integrations
- Enterprise ($299/month CAD): 10,000 conversations/month, white-label, multi-bots
4.2 Currencies
Prices are displayed in Canadian dollars (CAD) and euros (EUR). The billing currency is determined at registration.
4.3 BYOK (Bring Your Own Key)
Clients on Pro, Business and Enterprise plans can use their own AI API key (BYOK mode). In BYOK mode, conversations are unlimited. The Client is responsible for costs related to using their own API key with the chosen AI provider.
4.4 Assisted Setup
All plans include self-service launch (configuration via the client portal). An optional assisted setup is available for $199 (the ChatDirect team configures the chatbot according to the Client's needs).
5. Registration and Account
To use the Service, the Client must have an account configured by the ChatDirect team or created via the Discovery plan. The Client agrees to:
- Provide accurate and complete information during registration
- Maintain the confidentiality of their login credentials
- Immediately notify ChatDirect of any unauthorized use of their account
- Not share their credentials with unauthorized persons
The Client may create additional user accounts via the client portal. They are responsible for the activity of all users associated with their account.
6. Acceptable Use
The Client agrees to use the Service in compliance with applicable laws. It is strictly prohibited to:
- Use the chatbot to disseminate illegal, defamatory, hateful or discriminatory content
- Collect personal data from Visitors without an appropriate legal basis
- Attempt to circumvent conversation limits or plan restrictions
- Use the Service to send spam or unsolicited communications
- Attempt to access other Clients' data or compromise Service security
- Resell, sublicense or redistribute the Service without written authorization
- Use the chatbot to deceptively impersonate a human where legislation requires it
7. Intellectual Property
The Service, its source code, design, documentation and trademarks are the exclusive property of ChatDirect. The Client is granted a non-exclusive, non-transferable and revocable license to use for the duration of their subscription.
Content created by the Client (knowledge base, chatbot personality, CRM data) remains the Client's property. ChatDirect acquires no rights to this content.
8. Data and Privacy
The collection, processing and protection of personal data are governed by our privacy policy. The Client acknowledges that:
- They are responsible for processing their Visitors' personal data, in accordance with Law 25 and GDPR
- ChatDirect acts as a data processor within the meaning of the GDPR
- The Client must inform their Visitors of the chatbot's presence and data collection
- Data is hosted in Canada and processed in accordance with Canadian and Quebec laws
9. Availability and Service Level
ChatDirect strives to maintain the Service available 24 hours a day, 7 days a week. However, as the Service is hosted on OVH shared hosting, ChatDirect does not guarantee 100% availability.
Interruptions may occur due to:
- Planned maintenance (communicated in advance when possible)
- Technical outages at the hosting provider
- Unavailability of third-party AI providers
- Force majeure events
ChatDirect commits to deploying reasonable efforts to restore the Service as quickly as possible in case of interruption.
10. Limitation of Liability
To the extent permitted by law:
- The Service is provided "as is" and "as available," without warranty of any kind, express or implied
- ChatDirect does not guarantee the accuracy, relevance or completeness of AI-generated responses
- ChatDirect is not responsible for decisions made by the Client or their Visitors based on chatbot responses
- ChatDirect's total liability to the Client is limited to the total amount paid by the Client in the preceding 12 months
- ChatDirect is not responsible for indirect, incidental, special or consequential damages
11. Termination
11.1 By the Client
The Client may terminate their subscription at any time by contacting the ChatDirect team. Termination takes effect at the end of the current billing period. No refund is granted for the remaining period.
11.2 By ChatDirect
ChatDirect reserves the right to suspend or terminate a Client's account in case of:
- Violation of these terms of service
- Abusive or fraudulent use of the Service
- Non-payment after formal notice
- Prolonged inactivity (more than 6 months without login)
11.3 Effects of Termination
Upon termination, the Client has 30 days to export their data (conversations, leads, configuration). After this period, data will be permanently deleted.
12. Changes to Terms
ChatDirect reserves the right to modify these terms at any time. Substantive changes will be communicated by notification in the client portal and/or by email at least 30 days before taking effect.
13. Governing Law and Dispute Resolution
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada that apply therein. Any dispute arising from the use of the Service shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal.
Before resorting to the courts, the parties agree to attempt to resolve any dispute through amicable negotiation for a minimum period of 30 days.
14. General Provisions
- Entire agreement: these terms, together with the privacy policy, constitute the entire agreement between the Client and ChatDirect.
- Severability: if any provision of these terms is found invalid, the remaining provisions shall remain in effect.
- Waiver: ChatDirect's failure to exercise a right provided in these terms does not constitute a waiver of that right.
- Assignment: the Client may not assign their rights or obligations without ChatDirect's prior written consent.
