These Terms of Service (hereinafter "Terms") govern access to and use of the ChatDirect.ca platform (hereinafter "the Service"), operated by ChatDirect (hereinafter "ChatDirect," "we," "our").
By creating an account, accessing the Service, or using the platform in any manner whatsoever, you acknowledge that you have read, understood, and unconditionally accepted these Terms. If you do not accept these Terms, you must not use the Service.
These Terms apply to all users of the Service, including account-holding clients, client portal users, administrators, and visitors interacting with a chatbot powered by ChatDirect.
ChatDirect.ca is a multi-client AI chatbot SaaS (Software as a Service) platform designed for small and medium-sized businesses (SMBs). The Service is hosted on a dedicated OVH server (Beauharnois, Canada) with a Supabase database (PostgreSQL) and includes:
To use the Service as a client, you must create an account through the registration form (signup.php) or be invited by a ChatDirect administrator. Account creation is limited to one account per business or organization, unless otherwise agreed.
You agree to provide accurate, complete, and up-to-date information when creating your account. You must keep this information current throughout your use of the Service.
You are solely responsible for the confidentiality of your login credentials (email and password). Any activity carried out under your account is deemed to have been authorized by you. You must notify us immediately of any unauthorized use of your account at info@chatdirect.ca.
You may create additional user accounts through the client portal. You remain responsible for all activities carried out by these users and must ensure that they comply with these Terms.
The Service is offered through monthly subscriptions under the following plans:
Each plan includes self-service setup (configuration via the client portal). Optional assisted setup is available for $199 (one-time payment).
Subscription fees are billed monthly in Canadian dollars (CAD) via Stripe. Displayed prices do not include applicable taxes (GST, QST for Quebec). Payment is due at the beginning of each billing period. Subscriptions automatically renew at each term, unless previously cancelled by the client.
ChatDirect reserves the right to modify its prices. Any modification will be communicated by email at least 30 days before taking effect. Current subscriptions will be honored until the end of their billing period.
BYOK mode allows clients to use their own API key from an AI provider. In this mode, the costs of using third-party AI APIs are entirely the responsibility of the client. BYOK mode enables unlimited conversations on all plans.
The Discovery plan offers a free 14-day trial under the following conditions:
The free trial is limited to one trial per business or organization. ChatDirect reserves the right to deny access to the free trial in case of abuse.
By using the Service, you agree to:
You are entirely responsible for the content disseminated by your chatbot, including personality configurations, knowledge bases, and responses generated from them.
The ChatDirect platform, including its source code, design, features, documentation, trademarks, logos, and trade names, is the exclusive property of ChatDirect and is protected by Canadian and international intellectual property laws. Use of the Service does not confer any intellectual property rights over the platform.
You retain all intellectual property rights over the content you add to the Service, including your knowledge base, chatbot configurations, lead data, and any other information entered. You grant ChatDirect a non-exclusive, worldwide, time-limited license to host, store, and process this content solely for the purpose of providing the Service.
Responses generated by the AI chatbot are automatically produced by third-party language models (Anthropic, OpenAI, Google, Mistral). ChatDirect claims no ownership rights over this generated content. You are solely responsible for the verification, validation, and use of AI-generated content.
The collection, processing, and protection of your personal data are governed by our Privacy Policy, which forms an integral part of these Terms.

ChatDirect cannot be held responsible for any loss, destruction, or alteration of user content, including lead data, conversations, configurations, and knowledge bases.
ChatDirect is not responsible for damages resulting from the use of your account by a third party, whether due to hacking, negligence in managing your credentials, or any other cause. It is your responsibility to adequately protect your login credentials.
The user is solely responsible for the content disseminated through their chatbot, including AI responses based on their knowledge base. ChatDirect is not responsible if the content generated by the chatbot violates the law, the GDPR, Law 25, or any other applicable regulation.
The Service is provided "as is" and "as available." ChatDirect does not guarantee 100% availability of the Service. Interruptions may occur due to maintenance, updates, hosting provider failures, or force majeure circumstances.
ChatDirect is not responsible for responses generated by artificial intelligence models provided by Anthropic, OpenAI, Google, or Mistral. AI responses are generated automatically and may contain errors, inaccuracies, or outdated information. The user is responsible for verifying all AI-generated content before dissemination.
ChatDirect is not responsible for malfunctions, interruptions, or modifications of third-party services integrated with the platform, including but not limited to Stripe, HubSpot, Pipedrive, Monday.com, Slack, Twilio, SendGrid, and AI providers.
ChatDirect reserves the right to suspend or terminate an account without notice in the event of a violation of these Terms, a violation of applicable law, abusive use of the Service, or a threat to the security of the platform or other users.
To the maximum extent permitted by applicable law, ChatDirect's total liability, regardless of cause, shall in no case exceed the total amount of fees actually paid by the client during the twelve (12) months preceding the event giving rise to the claim. ChatDirect shall in no case be liable for indirect, incidental, special, consequential, or punitive damages.
ChatDirect may engage subcontractors for the delivery of the Service, including:
ChatDirect remains responsible for the proper delivery of the Service and ensures that its subcontractors provide adequate security and confidentiality guarantees.
For Business and Enterprise plans, ChatDirect commits to maintaining Service availability of at least 99% on a monthly basis (excluding scheduled maintenance). Clients on these plans benefit from priority support through the integrated ticketing system.
ChatDirect commits to maintaining reasonable security measures in accordance with industry best practices, including:
ChatDirect reserves the right to modify these Terms at any time. In the event of a substantial modification, ChatDirect will notify clients by email at least 30 days before the new terms take effect.
The "last updated" date at the top of this page will be modified accordingly. Continued use of the Service after the modifications take effect constitutes full and unconditional acceptance of the new Terms. If you do not accept the new terms, you must cease using the Service and cancel your subscription.
You may cancel your subscription at any time through the Stripe Customer Portal. Termination takes effect at the end of the current billing period. No pro-rated refund will be issued for the remaining period.
ChatDirect reserves the right to suspend or terminate your access to the Service in the event of:
ChatDirect will notify you by email of any suspension or termination, except in cases of emergency or serious violation requiring immediate action.
Upon termination, your access to the Service will be deactivated. Your data will be retained for 30 days, during which you may request the export of your data. After this period, data may be permanently deleted without the possibility of recovery.
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute arising from these Terms or the use of the Service shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec, Canada.
If any provision of these Terms is declared null or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.
You agree to indemnify and hold harmless ChatDirect, its officers, employees, partners, and subcontractors from any claim, damage, loss, cost, or expense (including reasonable attorney's fees) arising from:
